Learn about the compliance requirements for your user interface and application.

To offer Capital to your users, Adyen requires that your user interface and application always provide information that is complete, true, and accurate. To ensure this, your user interfaces and apps must:

Do not present your platform as a bank

Adyen's financial products are only for business purposes and only available to users onboarded on your platform. For this reason:

  • Do not present your platform as a bank.
  • Do not imply in any way that you offer traditional banking products for consumers.

Additionally, you must disclose that Adyen is your provider of financial products. Follow the product guidelines for marketing and communication material.

Enable your users to request Capital

Your interface must enable your users to submit a request to use Capital.

Collect KYC information and send it to Adyen

When your users request financial products, Adyen verifies that they comply with the requirements for using the requested products. This verification process is known as Know Your Customer (KYC) verification.

To pass KYC verification, your users must provide accurate information about their business. Based on the results of the verification, Adyen decides if a user can get the capabilities required to use Capital.

In some instances, for compliance and regulatory reasons, Adyen may require that your users provide additional information when applying for access to Capital. To do this, redirect your users to an interface controlled and hosted by Adyen. Adyen will redirect your users back to your application after collecting this information.

You can collect KYC information from your users in two ways:

  • Adyen's hosted onboarding
  • Building your own user interface

Building your own user interface

If you build your own interface to onboard your users, the user interface must:

  • Determine the verification requirements for onboarding users on your balance platform.
  • Enable users to submit the required KYC information in your interface.
  • Save the submitted information and send it to Adyen.
  • Make sure that your users accept the Terms of Service before enabling them to submit their request for Capital.

(Only for US) Include required texts and disclosures

When building an interface for users in the United States, you must include the following text and disclosures:

Include a disclosure for Customer Identification Procedures (CIP). Your interface must show the CIP disclosure before prompting a user to provide personal information. For example, if your interface shows the CIP disclosure on the same page as the fields for personal information, show the CIP disclosure first.

Important Information You Need to Know about Opening an Account

To help the government fight the funding of terrorism and money laundering activities, Federal law requires financial institutions to obtain, verify, and record information that identifies each person (individual or entity) who opens an account and certain individuals who are associated with an account.

What this means: When you open an account, we will ask for your name, address, taxpayer identification number and other information that will allow us to identify you.

Capital

Include the Equal Credit Opportunity Act disclosure along with any Capital offers.

If your application for business credit is denied, you have the right to a written statement of the specific reasons for the denial. To obtain the statement, please contact Adyen's Credit Support Team by emailing [email protected] within 60 days from the date you are notified of our decision. We will send you a written statement of reasons for the denial within 30 days of receiving your request for the statement.

The Federal Equal Credit Opportunity Act prohibits creditors from discriminating against credit applicants on the basis of race, color, religion, national origin, sex, marital status, age (provided that the applicant has the legal capacity to enter into a binding contract), because all or part of the applicant's income derives from any public assistance program, or because the applicant has in good faith exercised any right under the Consumer Credit Protection Act. The federal agency that administers compliance with this law concerning this creditor is the Office of the Comptroller of the Currency (OCC), 400 7th Street, SW Washington, DC 20219.

(Only for Canada) Include required texts and terms

When building an interface for users in Canada, present the following information to your users on the same screen:

  • The terms of the grant offer. To find the terms of the offer, make a GET /grantOffers request.
  • The Annual Percentage Rate (APR) of the loan.
  • A definition for the Annual Percentage Rate (APR). You can use this definition:
    The Annual Percentage Rate (APR) is the cost of borrowing this loan under Adyen Capital User Terms, expressed as an annual rate.
  • The Adyen Capital User Terms.

Manage required agreements and user terms

Your users must accept Adyen's Terms of Service before they can use Capital. If you build your own interface to onboard your users, your application must generate a Terms of Service document.

In your user interface:

  1. Present the Terms of Service document to your users.
  2. Prompt your users to accept the Terms of Service. Include the following text:
  3. Ensure that your users accept the Terms of Service.
  4. Register the users' acceptance and send it to Adyen.
  5. Provide access to the accepted Terms of Service upon the users' request.

Enable your users to access financial product information

Your user interface must enable your users, free of charge, to access information regarding their financial products. This information includes transactions, fees, and other account information provided by Adyen to your platform through Adyen's APIs.

The following subsections show UI examples for:

Presenting Capital offerings

When presenting a Capital offering to your users, include the following information:

  • Capital type: clearly show the type of Capital offering, such as business loan or cash advance, to eligible users.
  • Capital proposal: clearly show the Capital proposal, including all the fields that Adyen provides to you through our GET /grantOffers endpoint.
  • Repayment period: specify that:
    • For a business loan, the repayment period has a maximum term. This means that the repayment period is fixed and the business loan must be completely repaid before the period ends.
    • For a cash advance, the repayment period has an expected term. This means that the repayment period for a cash advance is flexible.
  • How to request a Capital offering: enable users to request Capital on your interface. Clearly show that they must request the product before receiving any Capital proposal.

The following image shows an example of how to present your Capital offers to your users.

In this example, the interface:

  • Explicitly shows whether the user is viewing offerings for a loan or cash advance.
  • Shows all the Capital offerings available to your user.
  • Uses a Request button to indicate the user how to request a Capital offering.
  • Specifies the validity period of the offerings.

Presenting KYC interface and Terms of Service

To comply with KYC requirements and user agreements, include the following information in your interface:

  • KYC collection fields: enable your users to submit KYC information for review by Adyen.
  • Relevant terms: when showing your user the details of their Capital offering proposal, you must include all the terms that are relevant for this proposal. For example, you should include:
    • The amount of the Capital funds.
    • The total repayment amount.
    • The repayment percentage.
    • The fee for using the product. In Canada, you must show this fee as an annual interest rate.
    • Adyen's alternative ways for repaying the financing, if applicable.
  • Capital user terms: ensure that the user terms for Capital are available for and accepted by your users. Users must only accept the terms one time. In case of updates to the user terms, your platform must communicate these updates to your users.
  • Acceptance of Terms of Service: enable your users to view and accept the Terms of Service and conditions related to the Capital product. If you are not able to generate the required Terms of Service for your user, reach out to your Adyen contact. You must capture all acceptance information from the user.

The following image shows an example of how to present terms and conditions to your users.

In this example, the interface:

  • Shows a Summary section that includes relevant terms, such as:
    • The amount of the financing
    • The fees
    • The terms of the repayment period
    • The type of financing
  • Shows the Terms and conditions for using the Capital product.
  • Enables the user to accept the terms and conditions.
  • Specifies that accepting the terms and conditions in your interface is equivalent to signing a contract.

Presenting insights into Capital funds

Your interface must provide access to the following information:

  • Capital disbursement: inform your users in real time about the Capital funds that have been paid out to them, and about repayments of the Capital funds.
  • User insights: enable your users to view, track, and monitor their Capital funds. This includes:
    • Capital balance
    • Repayment requirements
    • Repaid funds
    • Capital term

Protecting your Capital information

Your Capital user interface must be protected against unauthorized access and security breaches. You must implement reasonable security measures according to industry practices. For example, your application must:

  • Use unique and personal security credentials for login.
  • Safely transmit personal security credentials.
  • Validate the users' credentials when they request access.
